ZONE1 SWIFT-ECARD PORTAL
AGREEMENT TO TERMS OF USE
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Zone1 Intellect Inc., doing business as Zone1 (“Zone1”, “we”, “us”, or “our”), concerning your access to and use of the https://swift.zone1.ca portal as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Portal”). You agree that by accessing the Site, you have read, understood, and agree to be bound by all these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PORTAL AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Portal from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any changes by updating the “Last Updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use the Portal so that you understand which Terms apply. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Portal after the date such revised Terms of Use are posted.
The information provided on the Portal is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Portal from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
Intellectual Property Rights
Unless otherwise indicated, the Portal is our proprietary property and all source code, databases, functionality, software, designs, video, text, photographs, and graphics on the Portal (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the Canada, international copyright laws, and international conventions. The Content and the Marks are provided on the Portal “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Portal and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Provided that you are eligible to use the Site, you are granted a limited license to access and use the Portal and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, company, non-commercial use. We reserve all rights not expressly granted to you in and to the Portal, the Content, and the Marks.
User Representations
By using the Portal, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Portal through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Portal for any illegal or unauthorized purpose; and (7) your use of the Portal will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse all current or future use of the Portal (or any portion thereof).
User Registration
You may register with the Portal. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
You may be required to purchase or pay a fee to access some of our services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Portal. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing account for purchases made via the Portal. Sales tax (if any) will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in U.S. dollars.
You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Site.
User Data
We will maintain certain data that you transmit to the Portal for the purpose of managing the performance of the Portal, as well as data relating to your use of the Portal. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Portal. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
User Content
We do not own any data, information, or material (“Content”) that you submit on the Portal while using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may, but have no obligation to, monitor and review Content on the Portal submitted or created using our Services by you. Unless specifically permitted by you, your use of the Portal does not grant us the license to use, reproduce, adapt, modify, publish, or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose. But you grant us permission to access, copy, distribute, store, transmit, reformat, display, and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable.
Cancellation
You can cancel your subscription (if you have any type of subscriptions) at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.

Terminating Your Account
You or Zone1 may terminate the Agreement at any time and for any reason by terminating your Zone1 account or giving notice to the other party. We may suspend the Service to you at any time, with or without cause. If we terminate your account without cause, and your account is a paid account, we’ll refund a prorated portion of any prepaid amounts for the Service. We won’t refund or reimburse you in any other situation, including if your account is suspended or terminated for cause, such as for a breach or violation of the Agreement.
Terminating Inactive Accounts
If your account is inactive for 24 months (roughly 730 days) or more, we may terminate your account and you won’t be entitled to a refund for any prepaid amounts or reimbursement for unused credit. Once your account is terminated, you acknowledge and agree that we may permanently delete your account and all the data associated with it, including your workspaces.
We’re deleting accounts that are no longer active and deleting the user data for those accounts to ensure compliance with current and future data protection and privacy regulations. Deleting old data is a best practice that helps us protect user data and our systems. We notify affected account holders by sending notice(s) to the email addresses associated with the account’s primary contact and owner profile.
Billing and Payments
You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. If auto-renewal is enabled (if any) for the Services you have subscribed for, you will be charged automatically in accordance with the term you selected. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time.
Refunds
You won’t be entitled to a refund or credit from us under any other circumstances. We may, at our sole discretion, offer a refund, discount, or credit.
Billing Changes
We may change any of our pricing plans and fees at any time by posting a new pricing structure to our Portal or in your account and/or sending you a notification by email.
Accuracy Of Information
Occasionally there may be information in the Portal that contains typographical errors, inaccuracies or omissions that may relate to promotions and offers. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Portal or on any related Service is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Portal including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Portal should be taken to indicate that all information on the portal or on any related Service has been modified or updated.
Uptime guarantee
We offer a Service uptime guarantee of 99% of available time per month. The service uptime guarantee does not apply to service interruptions caused by: (1) periodic scheduled maintenance or repairs we may undertake from time to time; (2) interruptions caused by you or your activities; (3) outages that do not affect core Service functionality; (4) causes beyond our control or that are not reasonably foreseeable; and (5) outages related to the reliability of certain programming environments.
Backups
We perform regular backups of the Content and will do our best to ensure the completeness and accuracy of these backups. In the event of hardware failure or data loss, we will restore backups automatically to minimize the impact and downtime.
Prohibited Activities
You may not access or use the Portal for any purpose other than that for which we make the Portal available. The Portal may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

Submissions
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site (“Submissions”) provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.
Delivery of Messages
Zone1 follows industry-standards in the coding, email guidelines, Infrastructure Verification that are required by ISPs, and takes measures to help minimize any possible blockage or delivery failure for the sent messages through the Portal, and to ensure that the messages are successfully delivered into the recipient’s inbox. However, Zone1 do not guarantee a 100% clear passage through the spam filters. The ISP has the final say on whether they accept email messages, and which folder they are likely to place those messages i.e., the inbox or the spam/junk folder.
Client’s Identity Protection
Zone1 agrees that you are the sole and exclusive owner of the your trademarks, tradenames, logos and all other identification now or hereafter used by or in connection with you. Zone1 shall not use the name, logo, or other identification of you, without the prior written consent of you.
Third-Party Websites and Content
The Site may contain (or you may be sent via the Portal) links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Portal or any Third-Party Content posted on, available through, or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Portal and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Use no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Portal or relating to any applications you use or install from the Portal. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
Portal Management
We reserve the right, but not the obligation, to: (1) monitor the Portal for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Portal or otherwise disable all files and content that are excessive in size or are in any way burdensome to our Portal; and (5) otherwise manage the Portal in a manner designed to protect our rights and property and to facilitate the proper functioning of the Portal.
Privacy Policy
